Greenland Energy Proposes £61.5 Million All-Share Merger With 80 Mile to Expand Arctic Critical Minerals Portfolio

Greenland Energy Company has agreed indicative terms for an all-share merger with London-listed 80 Mile, placing an estimated £61.5 million value on the Greenland-focused explorer and potentially bringing a wider portfolio of Arctic mineral assets under a Nasdaq-listed company. The proposed transaction values 80 Mile at approximately 1.1 pence per share, representing a 46.7% premium to the company’s closing mid-market price. The agreement remains indicative and does not yet represent a firm offer.

Greenland Critical Minerals Portfolio

The proposed combination would bring together interests in several Greenland mineral projects, providing exposure to copper, nickel, cobalt, platinum-group metals (PGMs) and titanium minerals.

80 Mile’s portfolio includes the Disko-Nuussuaq copper-nickel-cobalt-PGM project, the Dundas ilmenite project, and interests connected with licences in Jameson Land. The Dundas project has a JORC mineral resource of approximately 117 million tonnes grading 6.1% ilmenite, providing the proposed combined group with a substantial titanium-mineral resource alongside its base-metal and battery-metal assets. Greenland Energy held approximately $37.4 million in cash at the end of June and had already built a stake of about 4.42% in 80 Mile.

Capital Access for Arctic Projects

The proposed merger comes as companies developing mineral assets in remote Arctic regions face significant challenges in securing the capital required for exploration and project development. Greenland’s remote operating environment can increase infrastructure, logistics and development costs, while projects also face permitting and financing requirements before they can advance toward commercial production.

A combination with a better-capitalised Nasdaq-listed vehicle could provide 80 Mile’s projects with access to a broader pool of investors and potentially improve the funding capacity available for exploration, feasibility studies and future development. The proposed transaction would not remove the underlying technical, infrastructure, permitting or financing challenges associated with the projects.

Growing Strategic Interest in Greenland

Greenland’s mineral potential has attracted increasing attention as governments and investors in Europe and North America seek to diversify supply chains for critical raw materials. The island has significant geological potential, but only a limited number of mineral projects have advanced to commercial production. Infrastructure requirements, challenging logistics, permitting and access to development capital remain major factors affecting project timelines and economics.

These conditions have increased the importance of corporate structures capable of supporting long-term exploration and development programmes. The proposed Greenland Energy-80 Mile combination could therefore alter the financing position and strategic options available to the portfolio, while bringing several mineral projects under a single corporate structure.

Focus Shifts to Formal Offer

The next key stage will be Greenland Energy’s decision on whether to proceed with a firm offer for 80 Mile before the October 6 deadline. If the transaction advances, the combined company would need to determine how to allocate capital across a portfolio covering base metals, battery metals, PGMs and titanium feedstocks. A completed merger would also add to the consolidation of Greenland-focused exploration companies as investors increasingly examine corporate platforms capable of advancing multiple mineral assets rather than relying on individual early-stage projects.
