European Mining M&A Returns as Strategic Capital Reprices Lithium, Copper and Rare Earth Assets

European mining M&A activity is entering a new phase, but it no longer resembles the cyclical deal-making of past commodity booms. The current wave is not driven by broad speculative interest in exploration ground. Instead, it is a highly selective race for critical minerals assets that directly solve supply-chain bottlenecks in materials such as lithium, copper, graphite, gallium, and rare earth elements.

The buyer universe has also fundamentally changed. Alongside traditional mining companies and juniors, today’s market includes sovereign wealth funds, state-backed investment vehicles, defence-linked buyers, industrial offtakers, export-credit agencies, and infrastructure capital focused on supply-chain security rather than pure commodity upside.

A New M&A Logic: Control, Not Just Resources

Modern European mining M&A is no longer about simply acquiring tonnes in the ground. Strategic investors are buying:

  • Permitting approvals
  • Processing pathways
  • Offtake agreements
  • Government alignment
  • Time-to-production advantage
  • Downstream integration potential

In this environment, a smaller permitted copper or lithium project in Europe can be more valuable than a larger undeveloped deposit stuck in regulatory or metallurgical uncertainty. The market is increasingly rewarding execution probability over geological scale.

Rare Earth Consolidation: Critical Metals Corp and European Lithium

One of the clearest examples is Critical Metals Corp’s proposed acquisition of European Lithium in an all-share deal valued at approximately $835 million. The strategic objective is consolidation of ownership in the Tanbreez rare earth project in Greenland, where Critical Metals already holds 92.5%. European Lithium owns the remaining 7.5%. By acquiring full control, the company aims to simplify governance, improve financing conditions, and strengthen its position in the emerging Western rare earth supply chain.

Why Tanbreez Matters

Located in southern Greenland within the Ilímaussaq complex, Tanbreez is one of the most strategically significant heavy rare earth deposits outside China. It contains rare elements such as:

  • Dysprosium
  • Terbium
  • Neodymium
  • Praseodymium

These materials are essential for:

  • Electric vehicle motors
  • Wind turbine magnets
  • Defence systems
  • Robotics
  • High-performance industrial equipment

Public estimates suggest a resource of roughly 44.9 million tonnes at 0.38% TREO, with more than 25% heavy rare earth content, making it a cornerstone asset in the global rare earth supply chain.

Offtake Agreements Strengthen Rare Earth Valuations

Tanbreez is also supported by long-term contracts that reduce commercial uncertainty:

  • A 15-year offtake agreement with REalloys
  • A 10-year supply deal with Ucore Rare Metals for up to 10,000 tonnes per year

These agreements do not eliminate technical risk, but they transform the asset into a financeable rare earth platform with defined buyers and downstream pathways. The implication for M&A is clear: control plus offtake equals valuation premium.

Greenland’s Strategic Position in Western Supply Chains

The Tanbreez case also highlights a geopolitical shift. While Greenland is politically linked to Europe through Denmark, its mineral output is increasingly oriented toward North American and allied supply chains.

Downstream processing may involve:

  • US separation facilities
  • Canadian magnet manufacturing
  • European midstream refining
  • Defence-linked industrial buyers

This raises a strategic concern for Europe: geographic proximity does not guarantee supply-chain control.

Eramet: Strategic Metals Under Financial Pressure

Another key M&A signal comes from Eramet, one of Europe’s most important diversified mining groups with exposure to:

  • Manganese (Gabon)
  • Nickel (Indonesia)
  • Lithium (Argentina)
  • Mineral sands and industrial materials

Despite its strategic importance, Eramet has faced financial pressure, including rising debt, operational setbacks, and covenant waivers. The company has also considered asset sales and capital restructuring.

Why Eramet Matters for M&A

Reports of interest from the Orion Critical Mineral Consortium in acquiring part of the Duval family’s 37% stake have highlighted Eramet as a potential strategic acquisition target.

The consortium is backed by:

  • Orion Resource Partners
  • US International Development Finance Corporation
  • ADQ (Abu Dhabi)

with initial commitments of around $1.8 billion and plans to scale toward $5 billion.

This is not traditional mining M&A. It is strategic capital targeting operating assets in lithium, nickel, and manganese supply chains.

Serra Verde: Rare Earth Pricing Power and Vertical Integration

Outside Europe, the acquisition of Serra Verde Group by USA Rare Earth for approximately $2.8 billion signals how aggressively rare earth assets are being repriced.

Serra Verde operates one of the few non-Asian rare earth production systems capable of supplying all four key magnet materials:

  • Neodymium
  • Praseodymium
  • Dysprosium
  • Terbium

The project is expected to produce around 6,400 tonnes of rare earth oxides annually by 2027, with projected EBITDA of $550–650 million, implying a valuation multiple of roughly 4–5x EBITDA.

Financing Innovation

Serra Verde is supported by:

  • A $565 million DFC financing package
  • A 15-year offtake agreement with price floors
  • Government-backed demand structures

This combination of acquisition + financing + guaranteed offtake defines the new rare earth M&A model.

Vertical Integration Becomes the New Target

USA Rare Earth’s strategy extends further:

  • Acquisition of Less Common Metals (UK) for $100 million
  • Stake in Carester (France) for rare earth separation capacity
  • Integration with downstream magnet manufacturing

This creates a mine-to-magnet supply chain, spanning:

Brazil → UK → France → US manufacturing

Europe, by contrast, remains more fragmented across developers, processors, recyclers, and state-backed funds, without full vertical integration.

Carester and Europe’s Midstream Bottleneck

The Carester project in France illustrates Europe’s midstream challenge. The facility is designed to:

  • Recycle 2,000 tonnes of magnets per year
  • Process 5,000 tonnes of rare earth concentrate
  • Produce heavy rare earth oxides

Supported by both US and French capital (InfraVia), the project reflects a growing recognition that separation and processing capacity, not mining alone, is the real bottleneck in the rare earth supply chain.

InfraVia and the Rise of Strategic Copper M&A

InfraVia’s involvement in Viscaria, a Swedish copper project, shows how infrastructure capital is reshaping European copper M&A.

Viscaria is a:

  • Permitted brownfield copper mine
  • Located in Kiruna, Sweden
  • Powered by hydropower
  • Connected to European rail infrastructure
  • Linked to Aurubis offtake agreements

The project is expected to produce around:

  • 120,000 tonnes of copper concentrate annually
  • Equivalent to ~26,000 tonnes of contained copper

This makes it a highly attractive low-carbon copper asset for European supply chains.

The New Valuation Framework in Critical Minerals

Across all deals, a consistent valuation logic is emerging:

  • Tanbreez gains value from heavy rare earth scarcity and full consolidation
  • Eramet is valued for operating scale in manganese, nickel, and lithium
  • Serra Verde is priced on production visibility and government-backed offtake
  • Carester is strategic due to rare earth separation bottlenecks
  • Viscaria is premium copper due to permitting, infrastructure, and low-carbon output

The common denominator is deliverable supply, not geological potential.

From Exploration Risk to Supply-Chain Platforms

European mining M&A is shifting from exploration-driven speculation to supply-chain platform building.

Key drivers include:

  • Scarcity of permitted assets
  • Demand for near-term production
  • Need for processing capacity (lithium, copper, rare earths)
  • Rising importance of offtake-backed financing
  • Entry of sovereign and defence-linked capital

Assets that cannot deliver within a realistic industrial timeframe are being discounted. Assets that can integrate into European or allied supply chains are being repriced upward.

Europe’s Strategic Risk: Losing Control of Key Assets

A growing concern for Europe is speed. US, Gulf, Canadian, and Australian capital pools are moving quickly to secure strategic assets through:

  • Acquisitions
  • Offtake agreements
  • Financing packages
  • Vertical integration strategies

Projects such as Tanbreez, Carester, Viscaria, and Eramet-linked assets demonstrate that ownership and control of critical minerals supply chains are increasingly global, not regional.
