European Lithium is reshaping its business around critical minerals as it moves toward integration with Nasdaq-listed Critical Metals Corp, while the Tanbreez Rare Earth Project in southern Greenland enters a more intensive phase of drilling, pilot processing and development. The ASX-listed company ended the June quarter with a strong $296.3 million cash balance, giving it significant financial flexibility as the proposed takeover progresses and Tanbreez development accelerates.
Critical Metals to Take Over European Lithium
Under a binding Scheme Implementation Deed, Critical Metals plans to acquire 100% of European Lithium through a court-approved scheme. European Lithium shareholders would receive Critical Metals shares. The transaction would shift the company’s exposure from an Australian-listed developer toward a broader U.S.-listed critical-minerals platform, potentially providing greater access to American investors and strategic capital focused on secure supplies of critical raw materials.
Tanbreez Ownership Rises to 92.5%
A major development during the quarter was approval by the Government of Greenland for the transfer of the remaining 50.5% interest in Tanbreez to Critical Metals. Its ownership has consequently increased to 92.5%. The higher ownership gives Critical Metals greater control over project development, financing, technical studies and contractor decisions, while simplifying the project’s structure for potential investors and future offtake partners. The company has launched a US$30 million Project Acceleration Plan covering drilling, bulk sampling, pilot processing and the acquisition of Greenlandic contractor 60 Degree North A/S.
10,000 Metres of Drilling Underway
Critical Metals has commenced a planned 10,000-metre diamond drilling campaign targeting extensions to known mineralisation, infill drilling and additional geological, geotechnical and metallurgical data.
The results are expected to support future Mineral Resource updates, mine planning and engineering studies. The programme is particularly important because rare-earth projects can face significant challenges related to mineralogy, recovery rates and product quality. A larger resource alone will not determine Tanbreez’s commercial value unless the material can be efficiently mined and processed into saleable products.
Pilot Plant to Test Commercial Processing
Construction has also started on a storage, laboratory and pilot-plant complex in Qaqortoq.
The facility will allow Critical Metals to process representative bulk samples and investigate factors including recovery, reagent consumption, separation efficiency, water requirements and product consistency. Pilot-scale production could also provide samples for potential customers, helping the company move future rare-earth discussions toward technical qualification and commercial offtake agreements.
Local Contractor Strengthens Greenland Operations
The acquisition of 60 Degree North A/S is intended to strengthen local construction and mining capabilities. For a remote Greenland project, access to equipment, skilled personnel and local operating knowledge can be critical. Greater control over these resources could help reduce mobilisation risks and improve development scheduling, although Critical Metals will also take on the contractor’s operating and maintenance responsibilities.
From Rare-Earth Resource to Development Project
Tanbreez is now moving beyond a primarily geological proposition toward a more complete rare-earth development programme. The immediate priorities are clear: complete drilling, validate metallurgy through bulk sampling and pilot testing, develop the necessary infrastructure and translate the technical results into a credible mine and processing plan.
For European Lithium, the proposed combination with Critical Metals creates exposure to a broader critical-minerals portfolio at a time when Western governments and industrial companies are seeking alternatives to concentrated Asian supply chains. The next major test will be whether Tanbreez can convert its geological potential into a technically proven, commercially financeable rare-earth project.
