Energy Fuels’ planned $1.9 billion acquisition of Germany-based Vacuumschmelze (VAC) represents a major shift in the global rare earths market, moving the focus away from simply securing mineral resources and toward building complete permanent magnet supply chains.
The deal highlights a growing trend in the Western critical minerals sector: control of mines and rare earth processing capacity is no longer enough. The companies positioned to capture the greatest strategic value may be those capable of connecting raw materials, separation, metals production, alloys and finished magnet manufacturing into a single industrial ecosystem.
For decades, China has dominated much of this downstream value chain, particularly in rare earth separation and permanent magnet production. Energy Fuels’ move into VAC is an attempt to challenge that position by creating a vertically integrated Western platform serving industries such as electric vehicles, renewable energy, defence, aerospace, robotics and advanced electronics.
A Strategic Acquisition Beyond Traditional Mining
Energy Fuels, historically known as a uranium producer, has expanded its ambitions into rare earth processing through its White Mesa Mill operation in Utah. Under the agreement, Energy Fuels will acquire 100% of VAC from private equity firm Ara Partners through a combination of cash and shares. The transaction includes approximately $718 million in cash and 65.853 million newly issued Energy Fuels common shares, valuing VAC at roughly $1.9 billion based on Energy Fuels’ closing share price of $16.12 on June 22, 2026.
The deal also includes the assumption of around $140 million in adjusted net debt. The transaction is not being viewed as a conventional mining acquisition. Instead, it represents a strategic investment in one of the most difficult and valuable parts of the rare earth supply chain: producing finished magnetic materials that meet demanding industrial specifications.
VAC Provides Decades of Magnet Technology and Industrial Relationships
The strongest part of the acquisition is the industrial capability VAC brings to Energy Fuels. The German company has more than 100 years of experience in magnetics technology, over 400 patents, more than 1,000 customers, and manufacturing operations across Europe, North America and Asia.
VAC produces advanced NdFeB (neodymium-iron-boron) and SmCo (samarium-cobalt) permanent magnets, as well as soft magnetic materials used across major industries.

VAC generated approximately $29 million in adjusted EBITDA in 2025, meaning the acquisition valuation appears high when measured only against current earnings. Energy Fuels is effectively paying for strategic positioning and access to a rare Western industrial asset.
Rare Earth Magnets Become a Geopolitical Priority

VAC also holds a $41 million US defence-related grant connected to the expansion of rare earth metals and magnet manufacturing capabilities. These forms of support highlight the difficulty of competing with established Asian supply chains. Building Western alternatives requires long-term capital, industrial partnerships and government participation.
Europe Gains a Strategic Role in the New Supply Chain
The transaction also carries importance for Europe. VAC is headquartered in Hanau, Germany, with manufacturing operations and historical industrial connections across Europe, including Germany, Finland and Slovakia.
Although the acquisition places a European industrial company under US ownership, the broader significance is the creation of a transatlantic rare earth supply network.
