American Ocean Minerals Corporation and Odyssey Marine Exploration have agreed to combine businesses in a transaction that will create a new U.S.-controlled deep-sea critical minerals company valued at approximately US$1 billion. The merged entity is expected to focus on the exploration, harvesting and processing of deep-sea polymetallic nodules, building a large-scale platform aimed at supplying minerals needed for battery technologies, advanced manufacturing and strategic industrial applications.
The combined company will hold a portfolio of deep-sea exploration assets across U.S.-licensed international waters and allied sovereign jurisdictions, including two of the three exclusive licensed exploration areas in the Cook Islands. The transaction places deep-sea mineral development back into the spotlight at a time when governments and industries are seeking alternative sources of critical minerals to strengthen supply chain security.
Major Capital Raise Supports Expansion Strategy
The merger is supported by more than US$230 million in total equity financing, including over US$150 million from institutional and strategic investors as well as US$75 million in pre-public financing. The new company is expected to trade on Nasdaq under the ticker symbol AOMC, subject to regulatory approvals and the satisfaction of standard closing conditions.
